The secretary of a company must be an adult person who has a principal or sole residence in Malaysia. It must be a member of a designated body or be authorized by the Business Register (Malaysian Commission).
Resignation of A Secretary in Malaysia- Section 237 of Companies Act 2016
(1) On the basis of the conditions of appointment, a Registrar secretary may resign from his office by notifying the Council.
(2) If none of the directors of the company can be communicated to the last known address of their residence, the registrar may, despite the subsection 235 (1), notify the registrar of this fact of this issue.
(3) The Secretary ceases to be Secretary of the Company -
· On the expiry of thirty days from the date of the notification referred to in paragraph 1 or the period laid down in the Constitution or the terms of the appointment, as the case may be
· Upon expiration of thirty days from the date of the notification to the Registrar in accordance with Subsection (2);
(4) Nothing in paragraphs 1 and 2 shall release the Registrar from responsibility for any act or omission done before the Registrar leaves this office.
With more sophisticated developments in corporate law and corporate collaboration leading to larger groups of companies, the role of company secretary has evolved from an ordinary employee to a person who is much more important in every society. The company's current secretary is an employee of the company who is supported by heavier responsibilities and greater authority, duties that require ethical conduct from the company's secretaries at any time.
